Josie Platform - End User Terms

Here are the key points of these Terms. They are only brought for your convenience and do not substitute the full Terms.

By accessing or using Josie Platform, you agree to be bound by these Terms.
Age Restrictions. The Platform is intended and permitted only for individuals 13 years of age or older. Curators account may only be opened by individuals 18 years age or older.
Acceptable use. The Terms define the acceptable and unacceptable use of the Platform.
Account suspension. We may temporarily or permanently deny, limit, suspend, or terminate your Account if you misuse the Platform.
Privacy. We respect your privacy, as further explained in our Privacy Policy.
Intellectual property. All rights, title and interest in and to the Platform and Curator Content, , including all intellectual property rights, are owned by, permitted for or licensed to us. We do not own the Follower Content, but you grant us a license to use it.
Availability. We do not warrant or guarantee that the Platform will operate without disruption, errors, or interruptions, or that it will be accessible or available at all times, or immune from unauthorized access.
Disclaimer of warranty. Our Platform is provided for use “AS IS”. We disclaim warranties and representations, either express or implied, with respect to the Platform.
Indemnity. You will indemnify us if you misuse the Platform.
Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE LAW WE WILL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES.
Law & jurisdiction. Use of the Platform is governed by the laws of the state of Israel and subject to the exclusive jurisdiction of competent courts in the District of Tel-Aviv-Jaffa, Israel.

INTRODUCTION

Welcome to the Josie Platform, a platform for sharing music recommendations and content (the “Platform”) from musicians, performing artists, DJs, radio broadcasters, journalists, etc. ("Curators") to the general public, listeners, and music enthusiasts (their “Followers” – together, “Users”). The Platform is developed and operated by Josiemusic Ltd. (“Josiemusic”, “we”, “us” and “our”). Please carefully read the following Follower terms and conditions (the "Terms"). By accessing or using the Platform in any way, or by registering as a follower to the Platform (in each case, a “Follower”), you agree to be bound by these Terms and you signify that you have read and understood them. If you do not agree to these Terms, you may not use the Platform in any way. These Terms apply to unregistered and registered Followers only. If you registered to use the Platform as a Curator, please read the Curator Terms [add link], which apply to you. The Terms may be amended from time to time. We will post any change to the Terms on our Platform at a reasonable time in advance of the effective date of the change, and we will also make efforts to proactively notify you by email of the changes if we have your email address. If you do not accept the amended Terms, refrain from using the Platform. We may terminate the Terms and your User Account in such case.

CURATOR CONTENT, FOLLOWER CONTENT

Curator Content. The Platform allows Curators to upload curator music related content, including, but not limited to, curated playlists, music and artist recommendations, text, images, audio, video, etc. to be available to Followers (“Curator Content”). Follower Content. You may upload to the Platform, create, use, edit, comment, share with other Users or otherwise provide original content, ranging from personal profile information and comments on Curator Content (“Follower Content”). Follower Content that you provide through the Platform may be available for use by all Users of the Platform. Content Deletion. We may, in our sole discretion, temporarily or permanently delete or block access to Follower or Curator Content, if we find that it violates these Terms or for any other reason. If you believe Follower or Curator Content on our Platform violates these Terms, applicable laws, or your rights, please notify us at [add email] and we will endeavor to address the issue subject to these Terms. Disclaimer. We do not endorse or sponsor Followers or Curator Content or Services, or confirm their accuracy, credibility, authenticity, reliability, validity, integrity, compatibility, relevance, or legality. We assume no responsibility or liability for Curator Content or Services. If you believe Follower or Curator Content on our Platform violates these Terms, applicable laws, or your rights, please notify us at [add email] and we will endeavor to address the issue subject to these Terms. Ownership. Josiemusic is and shall be the sole and exclusive owner of the Curator Content, including content generated through Curator Services. You waive all moral rights with respect to the Curator Content. We do not claim any ownership to Follower Content. However, You grant us a worldwide, royalty-free, non-exclusive, transferrable, sublicensable, assignable, perpetual and irrevocable license to copy, reproduce in a different format, distribute, display, make available and communicate to all Users of the Platform and to the public the Followers Content. You further waive all moral rights with respect to their Followers Content.

USING THE PLATFORM

Curators may designate specific Curator Content to be available to registered users which pay a subscription fee to the Platform (“Premium Users”) only. Curators may also offer additional curation services through Platform, such as curating personalized playlists or other content ("Curator Services”), and charge additional fees payable, subject to these Terms, on the Platform. The Curator Services will be considered as Curator Content The Platform allows Followers to follow specific Curator, in which case they will be updated on new Curator Content uploads, interact with Curators and other Users on the Platform. We take no part in, or responsibility for, the interactions between you and Users. These interactions and communications, and all consequences resulting therefrom, are strictly between you and the Users participating in those interactions and communications. REGISTERING A FOLLOWER ACCOUNT The Service is available for both registered and non-registered visotors, However registered Followers may benefit from registering, because it allows them to access additional features in the Platform such as personalized content suggestions. A personal Follower account will be created once you sign-up to our Platform and agree to these Terms and to the Privacy Policy [add link] (the “Account” or “Follower Account”). You may provide and share through the Platform and through social media platforms all information contained in your profile, which may include your full name and date of birth to your music preferences, followed Curators and listened playlists . When you register to the Platform, you must submit only true, accurate and complete details. Bear in mind that false, incorrect or outdated information may impair our ability to provide you with the Platform and to contact you. We will explicitly indicate the fields for mandatory completion. If you do not enter the required information in these fields, you will not be able to register to the Platform. You are fully accountable for any outcome that may result from your failure to provide true, accurate and complete details when signing-up to our Platform. You are solely responsible and liable for all activities performed with or through your Account due to breaching these Terms. You are prohibited from selling or transferring your Account or your login details, such as username and password, in any way to any third party, unless given prior written consent from Josiemusic. Subject to these Terms, we hereby grant you a worldwide, limited, revocable, non-exclusive, non-sub-licensable, non-transferable and non-assignable right and license, limited in time until the termination or expiration of these Terms or the termination of your Account, to use the Platform in accordance with these Terms, for your personal purposes only.

ACCEPTABLE USE OF THE PLATFORM

When using the Platform, you must refrain from – • Breaching the Terms or any other applicable rules and instructions that we may convey with respect to the use of the Platform; • Posting Follower Content which - o infringes or violates intellectual property rights of other parties, including copyrights, patents, trade secrets and trademarks; o Identifies minors, their personal details or their address and ways to contact them; o Includes software viruses, Trojan Horses, worms, vandals, spyware, ransomware and any other malicious applications; o Constitutes a violation of a person's right to privacy or right of publicity; or o Is threatening, abusive, harassing, defamatory, libelous, vulgar, violent, obscene or racially, ethnically discriminatory or otherwise objectionable. • Engaging in any activity that constitutes or encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law; • Interfering with, burdening or disrupting the functionality of the Platform; • Breaching the security of the Platform or identifying any security vulnerabilities in it; • Knowingly and intentionally providing and erroneous or malicious Follower Content; • Circumventing or manipulating the operation or functionality of the Platform, or attempting to enable features or functionalities that are otherwise disabled, inaccessible or undocumented; • Abusing, harassing, threatening or intimidating other Users; • Using or launching any automated system, including robots, crawlers and similar applications to collect or compile content from the Platform, or in such ways that may impair or disrupt the Platform's functionality; • Impersonating any person or entity, or making any false statement pertaining to your identity, employment, agency or affiliation with any person or entity; or • Collecting, harvesting, obtaining or processing personal information of or about other Users. You may not access or use the Platform in order to develop or create a similar or competitive product or service.

FEES

General. Use of the Platform (not including Premium subscription or Curator services) is offered free of charge. We may change the availability of some or all free features of the Platform at our sole discretion. Premium Users must pay a monthly or yearly subscription fee. All Followers may engage Curator to pay for Curator Service. Payments. All payment on the Platform can only be paid through third party payment processors such as [???] (“Payment Processor”). Josiemusic reserves the right to support different types of payment methods on the Platform. We also may, at any time and in our sole discretion, change a free-of-charge feature to a paid feature. All payments on the platform or subject to Josie’s Refund Policy [add link]. All prices on the Platform include VAT.

Premium User Subscription Fees

Premium User Subscription Fees. Premium Users will be charged a monthly or yearly subscription fee. The cost of the subscription will be presented to you on the Platform during subscription. Subscription fees will auto-renew unless the Premium User cancels their subscription on the Platform. Josiemusic may change the subscription fees at any time. If you have an existing Premium User account, we will notify you of the change to the fee a reasonable time prior to the renewal date. Curator Services Prices. Curators may update the prices of their Curator Service from time to time. The applicable price in relation to the offered Curator Service is the price that is presented to you when you completed the payment. If you abandoned the payment process, and returned later to complete it, prices may have been updated in the meantime. In that case, you will be asked to confirm the updated price. The information documented in our systems and records, such as the payments for the Curator Service, will be used to determine your eligibility for payment for the Curator Service. Failure to pay. You are solely responsible for paying all applicable fees for the Curator Services that you purchased, whether or not you actually used, enjoyed or otherwise benefited from them. If the payment details you provided are not valid, or if the Payment Processor denies the transaction, the transaction will not be completed. If the transaction is mistakenly completed despite one of the foregoing events occurring, Josiemusic reserves the right to cancel the transaction after notifying you. Failing to settle your payments for Curator Services may prevent you from continuing to use the Platform, without regard to any other remedies available to us and the Curators under applicable law.

USER ACCOUNT SUSPENSION

In addition to any remedies that may be available to us under any applicable law, we may, upon notice to you, temporarily or permanently deny, limit, suspend, or terminate your Account, prohibit you from accessing the Platform and take technical and legal measures to keep you off the Platform, if we determine, in our reasonable discretion that - • You abused your rights to use the Platform; • You breached the Terms; • You performed any act or omission that violates any applicable law, rules, or regulations; • You have performed any act or omission which is harmful or likely to be harmful to us, or any other third party, including other Users of the Platform; • You used the Platform to perform an illegal act, or for the purpose of enabling, facilitating, assisting or inducing the performance of such act; • You deliberately submitted false information or have failed to comply with our requests for information regarding your identity; or • You have transferred your Account to another person or entity without prior written consent;

PRIVACY

We respect your privacy. Our Privacy Policy, which is incorporated to these Terms by reference, explains our privacy practices on the Platform.

COPYRIGHT INFRINGEMENT

Requests to remove content due to copyright infringement must be made in accordance with our Copyright Policy [Add link to the Policy]. After we receive a request to remove or re-post content on the Service, we will review the request and act as necessary.

INTELLECTUAL PROPERTY

All rights, title and interest in and to the Platform, the Platform’s software and content, the Curator Content, including, without limitation, patents, copyrights, trademarks, trade names, service marks, trade secrets and other intellectual property rights, and any goodwill associated therewith, are owned by us. You may not copy, distribute, display or perform publicly, sublicense, decompile, disassemble, reduce to human readable form, execute publicly, make available to the public, adapt, make commercial use, process, compile, translate, sell, lend, rent, reverse engineer, combine with other software, modify or create derivative works of the Platform’s software, which is subject to intellectual property rights or other proprietary rights, either by yourself or by a third party on your behalf, in any way or by any means, including, but not limited to electronic, mechanical or optical means, without prior written authorization from us. You may not adapt or otherwise use any name, mark or logo that is identical, or confusingly similar to our trademarks, services marks and logos, whether registered or not. You must refrain from any action or omission which may dilute or tarnish our goodwill. You may provide us with feedback, including information pertaining to bugs, errors and malfunctions of the Platform, performance of the Platform, the Platform’s compatibility and interoperability, and information or content concerning enhancements, changes or additions to the Service that you would like to have, desire or suggest. When you do so, you assign all right, title and interest in and to that feedback to us, including the right to make commercial use thereof, for any purpose we deem appropriate, without charge. You are not entitled to receive any remuneration for our use of your feedback, you represent that the feedback is original or that you have any intellectual property rights necessary to make the submission without restriction. Further, you waive any past, present or future moral rights you may have in the feedback.

CHANGES IN THE PLATFORM

We may maintain the Platform with periodic releases of updates or upgrades. We will determine, in our discretion, the frequency and scope of such releases and you will have no plea, claim or demand against us or our directors, officers, employees, agents, advisors, consultants, subcontractors and assignees (collectively, our “Staff”), for any of these releases or the lack thereof. We may also, at any time and without prior notice, change the layout, design, scope, features or availability of the Platform. We may temporarily suspend the operation of the Platform for maintenance purpose and will aim to do so in a fashion that minimizes the impact on the Users.

AVAILABILITY AND QUALITY

The availability, quality and functionality of the Platform depends on various factors, including software, hardware, communication networks, and the quality of broadband/cellular/Wi-Fi network connectivity, which may be provided by third parties, at their responsibility. These factors are not fault-free. WE DO NOT WARRANT THAT THE PLATFORM WILL OPERATE WITHOUT DISRUPTION, ERRORS OR INTERRUPTIONS, OR THAT IT WILL BE ACCESSIBLE, OR AVAILABLE AT ALL TIMES OR IMMUNE FROM ERRORS, GLITCHES OR UNAUTHORIZED ACCESS.

AGE RESTRICTION AND ELIGIBILITY

If you are under the age of 13, you may not use the Service in any way. By using, accessing, or registering to the Platform, you declare that you are 13 years of age or older. If you are below the age of 18, you must include parental consent prior to opening the Account. You may not access or otherwise use the Platform without consent from a parent or legal guardian. Please follow instruction on the Platform to submit the consent.

DISCLAIMER OF WARRANTY

THE PLATFORM IS PROVIDED FOR USE “AS IS” AND “WITH ALL FAULTS”. WE AND OUR STAFF DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE PLATFORM, THE CURATOR CONTENT, THE FOLLOWER CONTENT, YOUR USER OR CURATOR ACCOUNT, ANY INTERACTION RELATED TO THE PLATFORM AND ANY COMMUNICATION BETWEEN YOU AND THE PLATFORM OR JOSIEMUSIC. WE AND OUR STAFF DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, RELIABILITY, NON-INFRINGEMENT, TITLE, COMPATIBILITY, PERFORMANCE, AVAILABILITY, SAFETY, SECURITY OR ACCURACY – REGARDING THE PLATFORM, THE CURATOR CONTENT AND THE FOLLOWER CONTENT. YOU ACKNOWLEDGE AND AGREE THAT THE USE OF THE PLATFORM, THE CURATOR CONTENT AND THE FOLLOWER CONTENT IS ENTIRELY, OR AT THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE LAW, AT YOUR OWN RISK.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR STAFF SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, STATUTORY, INCIDENTAL OR CONSEQUENTIAL DAMAGE, OR ANY SIMILAR DAMAGE OR LOSS (INCLUDING LOSS OF PROFIT AND LOSS OF DATA), COSTS, EXPENSES AND PAYMENTS, EITHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT, CONTRIBUTION, INDEMNITY, OR IN ANY OTHER FORM OR THEORY OF LIABILITY, ARISING FROM, OR IN CONNECTION WITH THE PLATFORM, THE USE OF OR THE INABILITY TO USE THE PLATFORM, THE CURATOR CONTENT, THE FOLLOWER CONTENT OR YOUR USER ACCOUNT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT IN THE EVENT OF INTENTIONAL MISCONDUCT OR FRAUD, UNLESS OTHERWISE STATED HEREIN, THE TOTAL AND AGGREGATE LIABILITY OF JOSIE AND ITS STAFF, FOR ANY AND ALL DIRECT DAMAGES ARISING FROM OF OR RELATED TO THESE TERMS OR THE PLATFORM, IS LIMITED TO THE SUBSCRIPTION PAYMENT PAID TO US (IF ANY) IN THE SIX MONTHS LEADING TO THE EVENT PURPORTEDLY GIVING RISE TO OUR LIABILITY.

JOSIE SHALL NOT BE LIABLE FOR ANY DAMAGE CAUSED TO YOU DUE TO DELAYS OR DEFECTS IN COMPLETING A CURATOR SERVICE ORDER, PROVIDING ACCESS TO SUCH SERVICE, UNLESS THE DELAY OR DEFECT OCCURRED DUE TO NEGLIGENCE ON THE PART OF JOSIE. IN SUCH A CASE, JOSIE'S LIABILITY WILL BE LIMITED TO AN AMOUNT EQUAL TO THE VALUE OF THE CURATOR CONTENT PAID TO US, IF ANY.

INDEMNIFICATION

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless, us and our employees, at your own expense and immediately after receiving a written notice thereof, from and against any damages, loss, costs and expenses, including attorney’s fees and legal expenses, resulting from any plea, claim, allegation or demand, arising from, or in connection with your provision of the Services and use of and access to the Platform in violation of any term of these Terms.

TERMINATION OF THESE TERMS

Either party may terminate these Terms at any moment without prior notice. You may terminate these Terms by deleting your Account. Termination shall not affect prior obligations of the Follower to other Users or to Josiemusic Upon termination of these Terms or your Account, for any reason - • Your right to use the Platform is terminated and you must immediately cease using the Platform; • You must log out of the Platform from your computer, tablet or smartphone devices; and • We reserve the right (but have no obligation) to delete all of the Follower Content and Account data stored on our servers.

The following sections shall survive any termination, or expiration of the Terms: Fees, Privacy, Copyright Infringement, Intellectual Property, Limitation of Liability, Indemnification, Termination of These Terms, Governing Law & Dispute Resolution, General.

GOVERNING LAW

These Terms and your use of the Platform will be exclusively governed by and construed in accordance with the laws of the state of Israel without regard to conflict of law principles. Any dispute, controversy or claim which may arise out of or in connection with these Terms or the Platform, shall be submitted to the sole and exclusive jurisdiction and venue of the competent courts in the District of Tel-Aviv-Jaffa, Israel.

GENERAL

These Terms, including the Privacy Policy [add link], and the Refund Policy [add link] constitute the entire agreement between you and us concerning the subject matter herein and supersede all prior and contemporaneous negotiations and oral representations, agreements and statements regarding the Platform.

Failure on our part to demand performance of any provision in these Terms shall not constitute a waiver of any of our rights . In the event of Josiemusic merger, acquisition, change of control or the sale of all or substantially all of our equity or assets, we may, without obtaining your consent, assign and delegate these Terms, in their entirety, including all of our rights, performances, duties, liabilities and obligations contained herein, to a third party. With such assignment, transfer and delegation, we are irrevocably and fully released from all rights, performance, duties, liabilities and obligations under these Terms. The section headings in the Terms are included for convenience only and shall take no part in the interpretation or construing of the Terms. If any provision of the Terms is held to be illegal, invalid, or unenforceable by a competent court, then the provision shall be performed and enforced to the maximum extent permitted by law to reflect as closely as possible, the original intention of that provision, and the remaining provisions of the Terms shall continue to remain in full force and effect.
